1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and F Power Inc LLC ("F Powrd Audio," "we," "us"). They govern your use of fpowrd.app, library.fpowrd.app, the F Powrd mobile app, and all related features (together, the "Service"). By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18, or the age of majority where you live, to create an account.
What F Powrd Audio is
F Powrd Audio is a music library management and cloud storage service for DJs, producers, musicians, and audio creators. You upload audio files you already own or have the right to use, such as MP3, WAV, AIFF, FLAC, and AAC files, including tracks, mixes, stems, and samples you create in your own studio. We help you organize, tag, sync, play, and privately share that library.
F Powrd Audio does not sell, license, or distribute music. We do not own or provide the content in your library. Paying for a plan buys storage and features. It does not give you rights to any music.
The short version: upload only what you own or have permission to use, share it only privately within your plan, and never use F Powrd to violate copyright. Accounts that act in bad faith will be removed.
2. Your Content
"Your Content" means the audio files, artwork, metadata, tags, playlists, crates, and notes you upload to or create in the Service.
You keep ownership. We claim no ownership of Your Content. Your original songs, beats, stems, and mixes remain yours.
The license you give us. You grant F Powrd Audio a limited, worldwide, non-exclusive, royalty-free license to store, copy, transcode, analyze, display, and stream Your Content only as needed to run the Service for you and the people you choose to share with. This includes making backups, syncing across your devices, generating waveforms, and reading tags. We will never sell Your Content, publish it, or offer it to the public. This license ends when you delete the content or your account, except for backup copies kept for a limited period or as required by law.
Your promises to us. For everything you upload, you confirm that:
· You own it, or you have all the rights, licenses, and permissions needed to upload, store, and share it through the Service
· Storing and sharing it on F Powrd does not infringe anyone's copyright, trademark, privacy, publicity, or other rights
· You have cleared any samples, collaborator contributions, or third-party material it contains, to the extent the law requires
You are solely responsible for Your Content and for any consequences of uploading or sharing it.
3. You May Not Use F Powrd Audio to Violate Copyright
F Powrd Audio may not be used to infringe copyright or any other intellectual property right. This applies to everything you upload, store, sync, or share, on every plan.
You may not upload, store, or share:
· Music you do not own or have permission to use, including tracks downloaded from piracy sites, torrents, or file lockers
· Audio ripped or recorded from streaming services such as Spotify, Apple Music, YouTube, SoundCloud, or Beatport, unless the rights holder allows it
· Unreleased, leaked, or promo-only music you were not authorized to distribute
· Other artists' stems, sample packs, or multitracks outside the terms of their license
· Content with watermarks, DRM, or other copy protection removed or bypassed
Purchasing a track from a store gives you a license from that store or artist, not from us. You must follow the terms of that license, and most do not allow you to redistribute the file.
We do not pre-screen uploads and are not responsible for what users store. We may, but are not required to, review, restrict, or remove any content we believe violates these Terms or the law, with or without notice.
4. Sharing Is Private, Not Public Distribution
Paid plans include sharing so you can collaborate with people you actually work and play music with: a bandmate, a co-producer, a manager, a sound engineer. Each plan sets how many people you may share with (Pro: 1 guest; Crew/Band: 5 members; Studio: unlimited guests).
"Unlimited" sharing on Studio means unlimited individual guests you invite. It does not mean public distribution. For example, you may not subscribe to Studio and then post a link on Reddit, Discord, a forum, or social media giving anyone access to your library or to music you do not have the right to share. That is unauthorized distribution, whether it covers one track or your entire library, and whether or not you charge for it.
You may not:
· Post share links or invites publicly, or hand them to people you do not know
· Use F Powrd as a file-sharing, download, or streaming service for an audience
· Share content you do not have the right to share, even with a single guest
· Share your account login, or let others use your account
· Use scripts, bots, or bulk invites to get around sharing limits
We do not protect you if you share unlawfully
If you share content in violation of these Terms or the law, you act entirely at your own risk. F Powrd Audio will not defend, indemnify, or shield you against claims from rights holders, artists, labels, platforms, or authorities. Copyright infringement can expose you to civil liability, statutory damages, and, in some cases, criminal penalties.
We may, at our discretion and as the law allows:
· Disable share links and remove guests at any time
· Remove content identified as infringing
· Respond to valid legal requests from rights holders or law enforcement, which may include account and sharing records
· Pursue every legal remedy available to us
5. Bad-Faith Conduct and Account Removal
Users who act in bad faith will be removed from F Powrd Audio. We built this platform for creators who respect each other's work, and we will protect that.
Acting in bad faith includes, without limitation:
· Uploading or sharing content that infringes copyright, as described in Sections 3 and 4
· Using sharing features to distribute music publicly or to build an audience for content you do not own
· Repeatedly uploading content that has been removed after a copyright notice
· Filing false copyright notices or counter-notices
· Fraudulent payments, stolen payment methods, or abusive chargebacks
· Exploiting promotions, trials, storage limits, or bugs instead of reporting them
· Scraping the Service or using bots or automated tools against it
· Creating new or multiple accounts to evade a suspension or sharing limits
· Harassing, threatening, or impersonating our team or other users
What happens
We may warn you, remove content, disable sharing, or suspend or permanently terminate your account, with or without notice. If we terminate your account for bad faith:
· Your access to the Service and to the content stored in it ends
· Your subscription and any prepaid fees or add-ons are forfeited without refund, except where the law requires otherwise
· You may not create a new account without our written permission
Where the law and safety allow, we will give you a chance to download your own lawful content before deletion. If you believe we made a mistake, contact [support@fpowrd.app].
6. Copyright Complaints (DMCA)
We respect the rights of artists and copyright owners and respond to notices of alleged infringement under the U.S. Digital Millennium Copyright Act (DMCA).
To report infringement, send a written notice to our designated agent that includes:
1. Your physical or electronic signature
2. Identification of the copyrighted work you claim is infringed
3. Identification of the infringing material and enough information for us to locate it, such as a share link or account handle
4. Your name, address, phone number, and email
5. A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act for the owner

Counter-notices. If your content was removed and you believe it was a mistake or misidentification, you may send a counter-notice meeting the requirements of 17 U.S.C. § 512(g). We may restore the content unless the complaining party tells us it has filed a court action.
Repeat infringers. We will terminate the accounts of users who, in appropriate circumstances, are repeat infringers.
Sending a knowingly false notice or counter-notice may make you liable for damages.
7. Accounts
You are responsible for your account and everything done through it. Keep your login secure and tell us at [support@fpowrd.app] if you suspect unauthorized access. Accounts are personal and may not be shared, sold, or transferred.
8. Plans, Billing, and Refunds
F Powrd Audio offers a free plan and paid plans with more storage and features, plus optional storage add-ons. Current plans and prices are listed at fpowrd.app/pricing. Paid plans renew automatically each month or year until you cancel in Settings; cancellation takes effect at the end of the current billing period. Fees are non-refundable except where we state otherwise or the law requires. We may change prices with at least 30 days' notice; changes apply from your next billing period.
If you downgrade or your plan lapses and your library exceeds the new storage limit, you will not be able to upload more until you are under the limit. We may delete content over the limit after giving you at least 30 days' notice and a chance to download it.
9. Storage, Backups, and Your Data
We work to keep your library safe, but you are responsible for keeping your own backup copies of your files. F Powrd Audio is not a sole archive, and we are not liable for lost or corrupted files. You can export your data at any time from Settings. When you delete your account, we delete Your Content within [30] days, except where the law requires us to keep it.
10. Our Intellectual Property
The F Powrd Audio name, logo, apps, website, and software are owned by F Powrd Audio and protected by trademark, copyright, and other laws. These Terms do not give you any right to use them except to use the Service as intended.
11. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be uninterrupted or error-free.
12. Limitation of Liability
To the fullest extent permitted by law, F Powrd Audio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or revenue. Our total liability for any claim is limited to the greater of $50 or the amount you paid us in the 12 months before the claim arose.
13. Indemnification
You agree to defend, indemnify, and hold harmless F Powrd Audio and its owners, employees, and partners from any claims, losses, or costs, including attorneys' fees, arising from Your Content, your sharing, or your violation of these Terms or anyone's rights, including any copyright claim.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of [New York], without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in [County], [New York], and you consent to their jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, notify you by email or in the app. Continued use after the effective date means you accept the changes.
